Acceptance of Terms

By accessing or using the services provided by BitWallet OTC Desk (“BitWallet OTC”, “OTC Desk”), you agree to be bound by these Terms and Conditions (“Terms”) and our Privacy Policy. If you do not agree to these Terms, you may not use our services.

These Terms govern all transactions, agreements, and communications between BitWallet OTC Desk and its clients (hereafter “Client”, “you”, or “your”) regarding over-the-counter (OTC) cryptocurrency transactions.

Eligibility

You must be at least 18 years old and legally authorized to enter into binding contracts under applicable law. By using our services, you represent and warrant that:

  • You have the legal capacity to enter into this agreement;
  • All information you provide is true, accurate, and complete;
  • You are not located in a jurisdiction where the use of our services is prohibited.

Services Offered

BitWallet OTC Desk provides high-volume cryptocurrency transactions, including the purchase, sale, and swap of digital assets valued between $1 million and $250 million USD per week.

Services include, but are not limited to:

  • Crypto-to-Fiat exchanges
  • Fiat-to-Crypto exchanges
  • Crypto-to-Crypto swaps
  • Escrow services (as applicable)

Fees and Payment Terms

Fees are variable and subject to change based on:

  • Transaction size
  • Jurisdiction
  • Transfer method
  • Speed of execution
  • Asset type

Custom pricing may apply for high-volume or repeat clients and must be agreed to in writing prior to execution.

All fees are:

  • Non-refundable
  • Due immediately upon completion of the transaction
  • Exclusive of any taxes or government fees, which are the client’s sole responsibility

Know Your Customer (KYC) / Anti-Money Laundering (AML)

You agree to provide all necessary documentation as required by applicable KYC/AML laws, including but not limited to:

  • Government-issued photo identification
  • Proof of address
  • Source of funds declarations
  • Business registration documents (if applicable)

Failure to comply may result in the refusal of servicefreezing of assets, and reporting to regulatory authorities.

Transaction Execution & Risk Acknowledgment

All transactions are executed based on mutual written agreement, typically confirmed via signed order or recorded communication.

You acknowledge:

  • Cryptocurrency transactions are irreversible.
  • Prices can fluctuate rapidly and may be subject to slippage.
  • We are not liable for price movement, third-party failure (e.g., banking institutions, blockchain delays), or network issues.

BitWallet OTC does not guarantee execution timeframes. Estimated delivery windows are provided for convenience only.

Right to Refuse or Delay Service

BitWallet OTC reserves the right to:

  • Delay or cancel any transaction for any reason
  • Request additional documentation
  • Refuse service to any individual or entity without obligation to provide explanation

This includes, but is not limited to, suspected fraud, regulatory risk, or adverse media.

Indemnification

You agree to indemnify, defend, and hold harmless BitWallet OTC Desk, BitWallet Inc., its affiliates, officers, directors, employees, and agents from any and all claims, damages, losses, liabilities, and expenses (including reasonable attorneys’ fees) arising from:

  • Your use of the services
  • Any breach of these Terms
  • Any violation of applicable laws or regulations
  • Any third-party claim arising from your conduct

Limitation of Liability

To the maximum extent permitted by law, BitWallet OTC Desk and BitWallet INC. shall not be liable for:

  • Any indirect, incidental, punitive, or consequential damages
  • Loss of profits, revenue, data, or opportunity
  • Acts of God, war, terrorism, embargo, cyberattack, or regulatory changes

Our total liability, whether in contract, tort, or otherwise, shall not exceed the amount of fees paid by you for the specific transaction giving rise to the claim.

No Fiduciary Duty

We do not act as your broker, agent, or financial advisor. Nothing in these Terms or in our communications shall be deemed as financial advice or a fiduciary relationship.

Governing Law & Jurisdiction

These Terms shall be governed by and construed under the laws of the State of [Insert State, e.g., Delaware or Texas], United States, without regard to its conflict of laws provisions.

Any disputes shall be resolved exclusively in the courts located in [Insert County, State]. You waive any objection to jurisdiction or venue.

Force Majeure

We shall not be held liable for any failure or delay in performance due to causes beyond our reasonable control, including but not limited to network disruptions, exchange outages, pandemics, or governmental actions.

Modification of Terms

We reserve the right to modify or update these Terms at any time. Updated versions will be posted online with the date of the last revision. Continued use of the services after such changes constitutes acceptance.

Termination

We may terminate or suspend your access to our services at any time, with or without cause or notice, without liability. You may terminate use at any time; however, all obligations (including unpaid fees) shall survive termination.

Entire Agreement

These Terms constitute the entire agreement between you and BitWallet OTC Desk and supersede all prior agreements, communications, or understandings.
